Company is a voluntary association of persons formed for the purpose of doing business having a distinct name and limited liability. It is a juristic person having a separate legal entity distinct from the members who constitute it, capable of rights and duties of its own and having perpetual succession.

Minimum requirement for the Private Limited Company
  • Minimum 2 Directors
  • Minimum 2 Shareholders (Directors & Shareholders can be same)
  • Minimum paid-up capital of Rs. 1,00,000/-
  • DIN for both Directors
  • Digital Signatures for all Directors
  • Consent from subscriber or director
  • Proof of Registered Address
  • NOC from the owner of the premises

 

DOCUMENT CHECKLIST

Director KYC documents

  • Scanned copies of Pan card and Aadhar of the Partners along with passport size photos
  • Scanned copies of any one of the ID Proof of the Partners – Driving License/ Voter’s ID/ Passport copy
  • Address Proof of the Partners – Bank Statement/ Telephone Bill/ Mobile Bill/ Electricity Bill (Latest Month scanned copies needed)

Address proof of registered office

  • Scanned copy of rent Agreement of registered office
  • Latest Electricity Bill of registered office
  • No Objection Certificate from the owner of the Premises, if not owned by the directors (format of NOC downloadable from dashboard)

 

ANNUAL FILING CHART (

AS A PART OF ANNUAL FILING, COMPANIES INCORPORATED UNDER THE COMPANIES ACT 1956 OR COMPANIES ACT 2013, ARE REQUIRED TO FILE THE FOLLOWING E-FORMS WITH THE REGISTRAR OF COMPANIES (ROC):

  • Form AOC-4: For filing financial statement and other documents
  • Form AOC4– CFS: Form for filing statement containing salient features of consolidated financial statement of a group
  • Form AOC4-XBRL: For filing XBRL document in respect of financial statement and other documents
  • Form MGT-7: Form for filing Annual Return by Companies having share capital

ANNUAL FILING COMPLIANCE 

For Companies falling under Category-I :-

  • Companies falling under Category-I shall comply with Annual Filing requirements as per Article given above and Chart given below.
